How AssetMax fees and shared savings work
Start with a free SpendVue assessment and findings meeting. Choose whether to proceed with the full AssetMax audit under the Master Services Agreement and $5,000 advance.
See the opportunity. Then decide.
The SpendVue savings assessment and findings meeting are free.
Free assessment and findings meeting
Provide twelve months of Accounts Payable reports under the assessment Engagement Letter. Review the SpendVue savings opportunities with GreenStreet.
Master Agreement and $5,000 advance
Only if you proceed: sign the Master Services Agreement and pay the advance to begin the full AssetMax audit.
Full audit and approved implementation
Utility, building-systems and insurance reviews lead to consolidated findings. Your advance is repaid first from savings before 50/50 distributions begin.
Distinguish opportunities from results
A potential opportunity still needs investigation. Identified savings are documented through the audit; identification alone does not trigger the retainer. Verified Savings are measured against the agreed baseline under the governing agreements.

Explore the resultThe baseline behind verification
The baseline is the historical cost for the relevant expense category, established during the audit and adjusted where appropriate for rates, weather, occupancy, usage or scope. Verified Savings are measured using the Shared Savings Agreement method or, if none is stated, a commercially reasonable method applied consistently, as specified in the Client Terms.
A separate term for each measure
Verified Savings are measured against the agreed baseline. The 36-month sharing period starts when each savings measure is implemented, rather than when you inquire, register or receive the first audit findings.
Implementation
The savings term begins for that measure.
During its 36-month term
The $5,000 retainer is repaid to the client first from savings, before 50/50 savings distributions begin. The agreed 36-month term still runs from implementation of each measure.
After its savings term
You retain 100% of that measure’s savings.
Recoveries and implementation
One-time refunds, credits, rebates and billing recoveries are shared 50/50 when received, subject to client-first retainer repayment. Financing, supplier changes and improvement works have their applicable conditions. The formal Shared Savings Agreement establishes the final baseline, measurement, verification and payment mechanics.
Engagement obligations also apply
The engagement includes binding provisions concerning the retainer, confidentiality, exclusivity and non-circumvention, together with other terms. Termination does not necessarily end compensation obligations for identified measures. Compliance corrective work and filings are separately contracted. Read the full client terms and engagement letter before accepting them.

Before you decide
Is the $5,000 payable when we request an audit?
No. Requesting an audit does not trigger the retainer. After the free SpendVue assessment and findings meeting, a $5,000 advance is payable only if you sign the Master Services Agreement to proceed with the full AssetMax audit. If you do not proceed, no advance is payable. The $5,000 retainer is repaid to the client first from savings, before 50/50 savings distributions begin.
When does the 36-month period begin?
The term begins from implementation of each measure. Different measures may therefore have different start and end dates. After the savings term for an individual measure ends, you retain all of that measure’s savings. It is not one portfolio-wide clock beginning at registration.
Are the audit and compliance work the same engagement?
The audit may identify relevant building-performance and compliance issues. Corrective actions, filings and compliance implementation are separately contracted fee-for-service work. Findings do not guarantee compliance, financing approval or a particular amount of savings. Property-specific responsibilities must be established with the appropriate professionals.
Does requesting an audit commit us to an engagement?
No. An inquiry starts a conversation about your properties and priorities. It does not accept the engagement letter or client terms, authorize work or start an audit. Scope, responsibilities and commercial obligations are agreed separately before the audit begins.
What if we do not proceed after the SpendVue assessment and findings meeting?
If you do not sign the Master Agreement to proceed with monetizing the identified savings, you have no obligation to pay the $5,000 retainer. Review the engagement documents for other applicable obligations.
What if the full audit identifies no savings?
The $5,000 advance is refundable in full if the Full AssetMax Audit identifies no savings.
